What is an Idaho Annual Report?
One of the requirements of maintaining an LLC or corporation in Idaho is filing an Annual Report. The Annual Report is used to confirm and update the company’s information each year with the Idaho Secretary of State, such as the name and address of the registered agent and principal office address.

Who Needs to File an Annual Report?
Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.
What is Needed to File an Idaho Annual Report?
You have the option of filing the Annual Registration online through the Idaho Secretary of State’s website or by mail.
The report asks for information such as:
- Corporation / LLC name
- Street and mailing address of the principal place of business
- Name and street address (P.O. Boxes are not allowed) of the Registered Agent
- Name and address of the entity’s governors
Idaho Annual Report Cost
If you file online, there is no cost to filing the Annual Report. There is a $20 filing fee when filing the paper form due to the manual processing.
Annual Report Due Date
After the first year after formation, the annual filing is due by the last day of the anniversary month the business entity was formed. For example, if your Idaho LLC or Corporation was formed on January 1st, the Annual Report deadline will be every year thereafter by January 31st.
The Secretary of State’s office sends an email approximately one month before the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money. Do I still have to file the Annual Report?
Even if your Idaho Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.
What happens if you don’t file the Annual Report on time?
If the Annual Report is not filed within 60 days of the due date, the entity will lose its good standing status with the state and eventually will be administratively dissolved. By not being in good standing, the owners may be held personally liable should the LLC or corporation be sued.
