What is a Kentucky Annual Report?

One of the requirements of maintaining an LLC or corporation in Kentucky is filing an Annual Report.  The Annual Report is used to confirm and update the company’s information each year with the Kentucky Secretary of State.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Kentucky Annual Report

​All businesses that are required to file an annual report will receive an annual report postcard in January. Businesses have from January 1 through June 30 of that year to return the completed card to the Office of the Secretary of State or to file the report online​.

To file online, visit the Kentucky Secretary of State’s website, otherwise, you can fill out the Annual Report form that is sent by mail or by downloading and filling out an Annual Report.

The report asks for information such as:

  • Legal name of the business
  • Name, title, and address of the officers, directors, members, and/or managers

Filing is immediate when filing online, or the processing time can take up to one week when filing by mail.

Kentucky Annual Report Cost

The Annual Report filing fee for both the Corporation or LLC in Kentucky is $15.

Annual Report Due Date

The Annual Report deadline is June 30th each year and can be made as early as January 1st. 

The first annual report isn’t due until the year following formation. For example, if your LLC or Corporation was formed on January 1, 2021, the deadline for the first Annual Report will be January 1st, 2022, and June 31st, 2022. 

The Kentucky Secretary of State’s office mails a reminder that the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.

What happens if you don’t file the Annual Report on time?

While there is no late fee for the Annual Report, if it is not filed by June 30th, the Secretary of State will place the entity in the status of bad standing.  By not being in good standing, it may be difficult for the entity to prove its existence when signing up with new vendors, loans, etc.   If the Annual Report isn’t filed by August 31st, will result in the administrative dissolution of the business entity or revocation of authority to conduct business in Kentucky. 

How do you change the Registered Agent?

While the Kentucky Annual Report form asks for the name and address of the Registered Agent, the Registered Agent can’t be updated on this form. 

To update the Registered Agent’s information, fill out a Statement of Change Form.  There is a filing fee to make the change.
