One of the requirements of maintaining an LLC or corporation in Kentucky is filing an Annual Report. The Annual Report is used to confirm and update the company’s information each year with the Secretary of State.
What is Needed to File a Kentucky Annual Report
You have the option of filing your Corporation and LLC Annual Report online or by mail. To file online, visit the Kentucky Secretary of State’s website, otherwise you can fill out the Annual Report form that is sent by mail or by downloading and filling out an Annual Report
The report asks for information such as:
- Legal name of the entity
- Name, title and address of the officers, directors, members and/or managers
Filing is immediate when filing online or up to one week when filing by mail.
Annual Report Cost
The Annual Report for both the Corporation or LLC in Kentucky is $15.
The Annual Report is due by June 30th each year and can be made as early as January 1st.
The first annual report isn’t due until the year following formation. For example, if your LLC or Corporation was formed January 1, 2020, the first Annual Report will be due between January 1st 2021 and June 31st 2021.
The Secretary of State’s office mails a reminder that the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.
My business made little or no money. Do I still have to file the Annual Report?
Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.
What happens if you don’t file the Annual Report on time?
While there is no late fee for the Annual Report, if it is not filed by June 30th, the Secretary of State will place the entity in status of bad standing. By not being in a status of good standing, it may be difficult for the entity to prove its existence when signing up with new vendors, loans, etc. If the Annual Report isn’t filed by August 31st, the business will be administratively dissolved by the state.
How do you change the Registered Agent?
While the Kentucky Annual Report form asks for the name and address of the Registered Agent, the Registered Agent can’t be updated on this form.
To update the Registered Agent’s information, fill out a Statement of Change Form. There is a filing fee to make the change.
