What is a Mississippi Annual Report?
One of the requirements of maintaining an LLC or corporation in Mississippi is filing an Annual Report. The Annual Report is used to confirm and update the company’s information each year with the Mississippi Secretary of State.

Who Needs to File an Annual Report?
Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.
What is Needed to File a Mississippi Annual Report
The Annual Report can only be filed online through the Mississippi Secretary of State’s online filing portal.
The report asks for information such as:
- Business name
- Business ID Number – To find your Secretary of State’s Business ID Number, enter your business name and find the “Business ID” field.
- FEIN (Federal Employer Identification Number)
- NAICS Code (North American Industry Classification System)
- Nature of business
- Principal address
- Business phone number
- Name and address of the Registered Agent
- Name and address of the officers, directors, members, and/or managers
- Total number of issued and outstanding shares
The Annual Report filing is processed immediately.
Mississippi Annual Report Fee
There is no cost to file the Annual Report for the LLC, however, there is a $25 filing fee for Corporations.
Annual Report Due Date
The Annual Report is due by April 15th each year and can be made as early as January 1st.
The first annual report isn’t due until the year following formation. For example, if your LLC or Corporation was formed on January 1st, 2021, the deadline for the first Annual Report will be April 15th, 2022.
The Secretary of State’s office emails a reminder in advance of the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.
What happens if you don’t file the Annual Report on time?
While there is no charge for a late Annual Report filing, if it isn’t filed by June 15th, the business entity will be administratively dissolved by the Secretary of State.
How do you change the Registered Agent?
While the Mississippi Annual Report form asks for the name and address of the Registered Agent, the Registered Agent can’t be updated on this form.
To update the Registered Agent’s information, fill out a Change of Agent Form. There is a $50 filing fee to make the change.
